Welcome to CREATURE LLC. These Terms of Service ("Terms") constitute a legally binding agreement between you and CREATURE LLC ("Company," "we," "us," or "our") governing your access to and use of our website, services, and products.

By accessing or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after any changes indicates your acceptance of the modified Terms. We will provide notice of material changes by posting the updated Terms on our website.

2. Description of Service

CREATURE LLC provides professional industrial design, product development, and consulting services. Our services include but are not limited to:

• Industrial design and product aesthetics
• Consumer product development
• Medical device development consulting
• Commercial equipment design
• User research and ergonomics analysis
• Prototyping and production preparation
• Design consulting and advisory services

Specific project scope, deliverables, timelines, and fees are defined in individual service agreements or statements of work. These Terms govern all services unless specifically modified in a signed agreement.

3. Eligibility

Our services are available to individuals and businesses that meet the following criteria:

• You are at least 18 years of age or have legal capacity to enter into a binding agreement
• You have the authority to bind any entity on whose behalf you act
• You are not prohibited from using our services under applicable law
• You are not located in a country subject to comprehensive U.S. sanctions

We reserve the right to refuse service to anyone for any reason at our sole discretion.

4. User Responsibilities

When using our services, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of any account credentials or access information
• Promptly notify us of any unauthorized use or security breaches
• Ensure you have all necessary rights and permissions for any content or materials you provide to us
• Cooperate reasonably in the execution of projects and provision of feedback

5. Prohibited Uses

Violation of these prohibitions may result in immediate termination of services and legal action.

6. Intellectual Property

Our Property

All content, designs, methodologies, software, and materials developed by CREATURE LLC prior to or independent of your project remain our exclusive intellectual property. This includes our proprietary design processes, templates, tools, and methodologies.

Your Property

You retain ownership of all content, materials, and intellectual property you provide to us for use in your project. By providing materials, you grant us a limited license to use them solely for project execution.

Project Deliverables

Ownership of project deliverables is defined in individual service agreements. Unless otherwise agreed in writing, deliverables become your property upon full payment of all project fees. We retain the right to use completed projects in our portfolio and marketing materials unless otherwise agreed.

License to Use Our Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. This license does not include any right to sublicense, sell, or distribute our services or content.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.

We do not warrant that:

• Our services will meet all your requirements
• Our services will be uninterrupted, error-free, or secure
• Results from using our services will be accurate or reliable
• Any defects will be corrected

We are not responsible for delays or failures in performance resulting from circumstances beyond our control.

Some jurisdictions do not allow exclusion of certain warranties. In such cases, our liability is limited to the maximum extent permitted by law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATURE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OR INABILITY TO USE OUR SERVICES.

Our total liability for any claim arising from or related to our services shall not exceed the amount you paid us for the specific service giving rise to the claim, or if no fee was paid, $100 USD.

These limitations apply regardless of the legal theory underlying any claim, including contract, tort, strict liability, or any other theory.

Some jurisdictions do not allow limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Third-Party Services and Links

Our services may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of third parties. Use of third-party services is at your own risk.

We may recommend third-party service providers such as manufacturers, testing laboratories, or regulatory consultants. These recommendations do not constitute an endorsement or warranty. You are responsible for evaluating and contracting directly with third parties.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use our services ceases immediately
• We may delete your account and associated data
• All provisions that by their nature should survive termination shall remain in effect
• You remain responsible for all fees incurred prior to termination

Termination does not limit any rights or remedies we may have.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia. You consent to personal jurisdiction and venue in these courts.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

12. General Provisions

Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and CREATURE LLC regarding our services.

Waiver: Failure to enforce any right or provision does not constitute a waiver. Any waiver must be in writing and signed by an authorized representative.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

No Agency: These Terms do not create any agency, partnership, joint venture, or employment relationship.

Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemic, or government action.

Severability: If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable.
